Welcome to StockMaster. These Terms & Conditions ("Terms") govern your access to and use of the StockMaster inventory management platform. By creating an account or using the Service, you agree to be bound by these Terms.

1. Acceptance of Terms

By accessing or using StockMaster, you confirm that:

• You have read and understood these Terms.
• You are at least 18 years old or have the legal authority to enter into this agreement.
• If you are entering into these Terms on behalf of a company, you have the authority to bind that company.

If you do not agree to these Terms, you must not use the Service.

2. Description of Service

StockMaster is a cloud-based inventory management platform that helps businesses track stock, manage suppliers, process purchases and sales, generate reports, and manage multiple branches. The Service is provided on a subscription basis.

We may add, change, or remove features from time to time. We will give reasonable notice of any changes that materially reduce the Service's functionality.

3. Account Registration

To use StockMaster, you must create an account. You agree to:

• Provide accurate, current, and complete information during registration.
• Keep your login credentials secure and confidential.
• Notify us immediately of any unauthorized use of your account.
• Take responsibility for all activity that occurs under your account.

4. Acceptable Use

You agree not to:

• Use the Service for any unlawful or fraudulent purpose.
• Attempt to gain unauthorized access to any part of the Service.
• Reverse engineer, decompile, or copy any part of the Service.
• Interfere with or disrupt the Service or its infrastructure.
• Use the Service to store or transmit malicious code, spam, or harmful content.
• Resell, sublicense, or rent access to the Service without our written consent.
• Use the Service in a way that could damage, disable, or impair it for other users.

We may suspend or terminate your account if you violate these rules.

5. Subscription & Payment

StockMaster is offered on a subscription basis. Fees are billed in advance on a monthly or yearly cycle, depending on the plan you choose.

• Payment: By providing a payment method, you authorize us to charge recurring fees until you cancel.
• Price changes: We may change our prices with at least 30 days' notice. Continued use after the change means you accept the new price.
• Taxes: Prices exclude applicable taxes, which you are responsible for paying.
• Failed payments: If a payment fails, we may suspend your access until payment is received.

6. Free Trial

We may offer a free trial on certain plans. If you do not cancel before the trial ends, your chosen payment method will be charged for the next billing cycle. We will send a reminder before your trial ends.

7. Refund Policy

Subscription fees are generally non-refundable. However:

• If you cancel within 7 days of your first paid subscription and have not heavily used the Service, you may request a full refund.
• If we make a material change to the Service that significantly reduces its value to you, you may request a pro-rated refund for the remaining period.
• Refunds are processed to the original payment method within 14 business days of approval.

8. Intellectual Property

All rights, title, and interest in the Service — including the software, design, logos, documentation, and content (but excluding your data) — belong to StockMaster or its licensors.

We grant you a limited, non-exclusive, non-transferable license to use the Service for your internal business purposes during your subscription.

9. Your Data

You retain full ownership of the data you enter into StockMaster (your inventory, sales, customer, and supplier records). You grant us a limited license to store, process, and back up your data solely to provide the Service.

• We will not access your data except to provide support, fix issues, or comply with legal requirements.
• You can export your data at any time from your account settings.
• When you close your account, we delete your data within 90 days, except where required by law.

10. Service Availability

We aim for 99.9% uptime but cannot guarantee uninterrupted access. The Service may be temporarily unavailable due to:

• Scheduled maintenance (we will notify you in advance).
• Emergency maintenance or security patches.
• Factors beyond our reasonable control (network failures, third-party outages, etc.).

11. Limitation of Liability

To the maximum extent permitted by law, StockMaster shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including lost profits, lost revenue, or lost data, arising from your use of the Service.

Our total liability for any claim related to the Service shall not exceed the amount you paid us in the 12 months before the event giving rise to the claim.

12. Termination

Either party may terminate this agreement:

• You: You may cancel your subscription at any time from your account settings. Access continues until the end of your current billing period.
• Us: We may suspend or terminate your account if you violate these Terms, fail to pay, or use the Service in a way that harms us or other users.

Upon termination, your right to use the Service ends. Sections on intellectual property, limitation of liability, and governing law survive termination.

13. Governing Law

These Terms are governed by the laws of the Republic of Ghana. Any disputes will be resolved in the courts of Ghana, unless otherwise required by applicable law.

14. Changes to Terms

We may update these Terms from time to time. When we make significant changes, we will notify you by email or via a prominent notice in the Service at least 14 days before the changes take effect. Continued use after that date means you accept the updated Terms.
